1. Service Description & Scope

Werkks ("the Platform") is a cloud-based maintenance management software-as-a-service ("SaaS") product operated by Adaptels Pte Ltd(UEN 202442770Z), a company incorporated in the Republic of Singapore ("the Company", "we", "us").

The Platform enables maintenance companies and their clients to manage work orders, invoices, quotations, team members, and related documentation. Access is provided on a subscription basis with tiered pricing plans.

2. Acceptance of Terms

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms & Conditions ("Terms"). If you are using the Platform on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms. If you do not agree, you must not use the Platform.

3. User Accounts & Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities conducted under your account
• Ensuring that all information provided is accurate and current
• Notifying us immediately of any unauthorised use of your account
• Ensuring that users you invite to your tenant comply with these Terms

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or unlawful activity.

4. Acceptable Use Policy

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Upload or transmit viruses, malware, or any harmful code
• Attempt to gain unauthorised access to other users' accounts or data
• Reverse engineer, decompile, or disassemble the Platform
• Use the Platform to send unsolicited communications (spam)
• Interfere with or disrupt the Platform's infrastructure or services
• Scrape, harvest, or collect data from the Platform by automated means
• Resell, sublicense, or redistribute access to the Platform without our written consent

5. Data Ownership

Your Data:You retain all ownership rights to data you upload, create, or store on the Platform ("User Data"). We do not claim ownership of your User Data.

Our Platform:All intellectual property rights in the Platform itself — including the software, design, trademarks, logos, documentation, and any derivative works — belong exclusively to Adaptels Pte Ltd.

You grant us a limited, non-exclusive licence to host, store, process, and display your User Data solely for the purpose of providing the Platform to you. This licence terminates when you delete your data or close your account.

6. Service Availability

We aim to provide the Platform with reasonable uptime and reliability. However, the Platform is provided "as is" and "as available". We do not guarantee uninterrupted, error-free, or secure access to the Platform.

We may perform scheduled maintenance, deploy updates, or experience unforeseen outages. We will use commercially reasonable efforts to notify you of planned downtime in advance.

7. Payment & Subscriptions

Paid subscription plans are billed in advance on a monthly or annual basis. All fees are in Singapore Dollars (SGD) unless otherwise stated.

• Free trial periods, if offered, convert to paid subscriptions at the end of the trial unless cancelled
• Fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of access

8. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business opportunities
• Our total aggregate liability to you for any claims arising from or related to the Platform shall not exceed the total fees paid by you to us in the 12 months preceding the claim
• We are not liable for any loss or damage resulting from your failure to maintain the security of your account credentials

9. Disclaimer of Warranties

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Platform will meet your specific requirements, be available at any particular time, or operate without errors or interruptions.

10. Indemnification

You agree to indemnify, defend, and hold harmless Adaptels Pte Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your User Data or any content you submit to the Platform
• Any dispute between you and a third party relating to your use of the Platform

11. Intellectual Property

All intellectual property rights in and to the Platform, including but not limited to the software, source code, algorithms, user interface designs, logos, trademarks, and documentation, are and shall remain the exclusive property of Adaptels Pte Ltd.

Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Platform in accordance with these Terms.

12. Termination

By You: You may terminate your account at any time by contacting us or through the Platform settings. Upon termination, your access will cease and your data may be deleted after a reasonable retention period.

By Us: We may suspend or terminate your account:

• Immediately if you breach these Terms
• Immediately for non-payment of fees
• With 30 days' written notice, for any reason or no reason

Upon termination, you may request an export of your User Data within 30 days. After this period, we may permanently delete your data.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

Any dispute arising from or in connection with these Terms shall be resolved:

1. First, by good-faith negotiation between the parties for a period of 30 days
2. If unresolved, by arbitration administered by the Singapore International Arbitration Centre (SIAC) under its prevailing rules, or by the courts of Singapore at our election

14. Privacy

Your use of the Platform is also subject to our Privacy Policy, which describes how we collect, use, store, and protect your personal data.

15. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email to your registered address or through a notice on the Platform.

Continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

16. Miscellaneous

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Adaptels Pte Ltd regarding the Platform.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
